Services in financing and business development
SBMC assists Polish, American, and other companies in their development by entering the Polish, American, and Japanese markets with their products and services, and by forming partnerships with a local company in the respective country (through joint ventures), or by opening their own company in a given country, purchasing an already existing company, or through a merger with such a company. We also search for strategic investors for Polish companies and companies from other European countries. Investment banking services are performed in cooperation with professional investment banks and companies dealing with mergers and acquisitions (M&A firms).
SBMC also helps in the development of small and medium-sized American and Polish companies by representing them in the American, Japanese, and Polish markets and by assisting in the certification process of American products in the European Union and Polish and European products in the U.S.A.
Furthermore, SBMC assists Polish and European companies and startups registered in the U.S.A. in obtaining loans, credits, and capital in the U.S.A. for financing their current operations and development projects. We assist such companies in their interactions with American commercial banks, investment banks, investment firms, investment funds, private equity firms, individual investors, and other lending institutions and capital providers for companies. In most cases, the initial condition for a Polish or European company to obtain a loan or capital in the U.S.A. for their current operations or development projects is to be registered in the U.S.A. and to keep accounting according to American accounting standards (i.e., U.S. Generally Accepted Accounting Principles – U.S. GAAP). Companies operating outside the U.S.A. and registered in other countries find it very difficult to finance their operations through American banks, investment firms, investment funds, and other financial institutions. This is because there is too much risk for American banks and investment firms. American banks and financial institutions often lack expert knowledge in areas such as law, accounting standards, government regulations, and market situations of specific goods or services outside the U.S.A.
Besides the increased risk for American financial institutions when investing in companies and projects outside the U.S.A., an additional obstacle is the higher-than-normal cost of conducting transactions outside the U.S.A. Since American financial institutions usually do not have their own experts in foreign countries, they have to cover the costs associated with employing local law firms, auditors, accountants, certified translators, appraisers, and other experts needed to execute a given financial transaction (whether it is a loan or a capital investment). Therefore, many American banks and financial institutions are not interested in financing foreign enterprises and often even have provisions in their statutes that they may finance or invest only in companies registered in the U.S.A.
One possible, but more costly, way to obtain funds for financing and developing a given company is the sale of bonds and shares of the company to American institutional and private investors through direct sales (so-called “private placement”). Therefore, in cooperation with American investment banks, we help Polish and European companies registered in the U.S.A., who would like to raise development capital in the U.S.A., in such sales of debt bonds and shares to obtain funds for their operations and development. In cooperation with American investment banks, we also assist Polish and European companies that would like to raise development capital in the U.S.A. by issuing and selling their shares on American stock exchanges through an “Initial Public Offering” (“IPO”).
Additionally:
- We offer assistance to Polish and European companies in making contact with American and Japanese companies to establish economic cooperation in Poland or another country. This could be opening a branch of an American or Japanese company in Poland, distributing their goods or services, obtaining a license or assistance in copying and implementing the business model of the company in Poland or another country, importing and selling their goods or services in Poland and other countries, or other forms of economic cooperation.
- We help companies in finding and acquiring business partners and distributors of their products or contractors for their services in the U.S.A., Poland, Japan, and other European countries.
- We assist Polish and American companies, as well as companies from other countries, in the purchase or sale of entire companies or parts thereof in the U.S.A. or Poland, or other assets.
- We assist Polish and American companies, as well as companies from other countries, in mergers and acquisitions (M&A) of other companies.
- We assist Polish entrepreneurs, enterprises, and startups in finding strategic investors in the U.S.A., Japan, and other countries, as well as sources of financing for their development.
- Assistance for a Polish company registered in the U.S.A. in finding financing in the U.S.A. for company projects registered in the U.S.A. through loans and credits as well as through equity contributions from investment funds, private equity firms, individual investors, and from issuing bonds or shares by the company in the U.S.A.
- Assistance in entering the American stock exchange for a Polish (or other) company registered in the U.S.A.
- Assistance to Polish companies in finding an American franchise to purchase and transfer it to Poland or another country.
- We help in evaluating the plan to enter the American or Japanese market with a product or service.
- We assist with obtaining certificates required for the sale of certain products in the American market.
